  • Nature of Service: Recovery of lost, deleted, or corrupted data from various storage media (e.g., hard drives, SSDs, USB drives).
  • Risk & No Guarantee: While we utilize advanced techniques, data recovery is inherently uncertain. We do not guarantee the recovery of any specific data. You acknowledge and accept the inherent risk that some or all data may be irretrievable, corrupted, or further damaged during the recovery process.
  • Liability Limitation: Except as mandated by law, we shall not be held liable for any damage to storage media or data loss resulting from the recovery process.

2.2 Odoo ERP Implementations

  • Nature of Service: Deployment, customization, and maintenance of Odoo ERP applications to streamline your business processes.
  • Third-Party Licensing: Odoo and its modules are subject to their own licenses. You agree to comply with all licensing terms. We disclaim any liability for breaches of such licensing terms by you or your affiliates.
  • Performance & Updates: We do not guarantee uninterrupted operation of the ERP solutions, which may depend on external factors such as hosting environments and internet connectivity.

2.3 Website Development

  • Nature of Service: Design, development, and maintenance of websites tailored to the needs of SMEs and other clients.
  • Client Content: You warrant that any content you provide for your website (including text, images, or multimedia) is lawful and does not infringe on third-party rights.
  • Third-Party Components: We may integrate third-party plugins or code libraries, for which we do not warrant functionality, compatibility, or security beyond what is provided by the third parties.

7.2 Aggregate Liability Cap

In the event any liability is established, the aggregate liability of Reviva Ltd shall not exceed the greater of:

  • The total amount paid by you for the particular Service giving rise to the claim in the 12 months preceding the event; or
  • One thousand Mauritian rupees (MUR 1,000).
    This limitation applies to all claims, whether based on contract, tort, negligence, strict liability, or otherwise, except as prohibited by mandatory law.

7.3 Specific Risks – Data Recovery

Due to the inherent risks associated with data recovery—including potential further damage to hardware or data corruption—Reviva Ltd expressly disclaims liability for any such damages except as required by law.

7.4 Force Majeure

Reviva Ltd shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, labor disputes, or any other force majeure event.


8. INDEMNIFICATION

8.1 Your Indemnity Obligation

You agree to indemnify, defend, and hold harmless Reviva Ltd, its directors, officers, employees, agents, affiliates, and subcontractors from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorney’s fees) arising out of or in connection with:

  • Your violation of any applicable law or regulation;
